Terms of Service

These Terms of Service govern your use of the software development and IT services provided by Te Software Solutions LLC. By engaging our services, you agree to be bound by these Terms.

1. Services

Te Software Solutions LLC agrees to provide the client with software development and IT services as outlined in a mutually agreed-upon Statement of Work (SOW) or service agreement. Services may include, but are not limited to, custom software development, web and mobile application development, systems integration, cloud services, and ongoing support.

2. Client Obligations

The client agrees to provide Te Software Solutions LLC with timely access to necessary resources, including application environments, infrastructure, documentation, and any other materials required for the successful execution of services. The client is responsible for the accuracy and legality of all content, materials, and information provided to Te Software Solutions LLC.

3. Payment Terms

Payment for services will be made according to the schedule outlined in the SOW. Services may be billed on a fixed-fee, milestone-based, or recurring basis. Invoices are due upon receipt unless otherwise specified. Failure to make timely payments may result in a suspension of services.

4. Term and Termination

The term of the agreement will be specified in the SOW. Either party may terminate the agreement with written notice, typically 30 days, as specified in the SOW. Upon termination, the client is responsible for all fees accrued up to the termination date. Te Software Solutions LLC will cooperate in the transition of project assets and data back to the client.

5. Confidentiality

Both parties agree to keep confidential all non-public information obtained from the other party during the course of the engagement. This includes business strategies, financial information, and technical or project data. This obligation of confidentiality shall survive the termination of the agreement.

6. Limitation of Liability

Te Software Solutions LLC will make every effort to deliver reliable and secure software solutions, but we do not guarantee specific results, such as particular revenue levels or performance metrics. Our liability for any claim arising from our services is limited to the amount of fees paid by the client to Te Software Solutions LLC in the preceding three months.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Te Software Solutions LLC is registered, without regard to its conflict of law provisions.
